Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern the provision of services by Health Academy, the trading name of Megalist Limited with registered office at 2a The Quadrant, Epsom, Surrey, England, KT17 4RH (“Health Academy”, “we”, “our”, or “us”) to our clients (“Client”, “you”, or “your”).

By booking, accessing, or using our services, you agree to be bound by these Terms.

These Terms apply to all services provided by Health Academy, including but not limited to:

      • Health and wellbeing lectures
      • Workshops
      • Webinars
      • Training programmes
      • Educational resources
      • Access to the Health Academy online platform
      • Follow-up support services

2. About Health Academy

Health Academy provides workplace health and wellbeing education and related support services to organisations and their employees.

Our services are educational and informational in nature and are designed to support general wellbeing awareness and workplace engagement.

3. Services

We will provide services as agreed with the Client in writing, including via our initial proposal, booking confirmation, invoice, or email correspondence.

Services may be delivered:

      • Remotely via online platforms
      • In person at agreed locations
      • Through pre-recorded or digital materials
      • Via the Health Academy online platform

We reserve the right to make reasonable changes to the format, content, scheduling, speakers, facilitators, or delivery methods where necessary.

4. Client Responsibilities

The Client agrees to:

      • Provide accurate information and data required for delivery of services
      • Ensure suitable facilities, equipment, and internet access where applicable
      • Facilitate initial and post-delivery analyses
      • Communicate relevant logistical requirements in advance
      • Obtain any internal permissions required for employee participation
      • Cooperate to ensure attendance and engagement of employees

5. Health Academy Platform

As part of certain programmes, participants may be granted a licence to access the Health Academy online platform hosted by CircleCo, Inc. (“Platform”).

The Platform provides ongoing educational resources, wellbeing content, community discussions, and support materials.

5.1 User Accounts

Individuals accessing the Platform may be required to:

      • Create a user profile
      • Provide personal information
      • Create login credentials
      • Participate in community discussions or activities

Users are responsible for maintaining the confidentiality of their account credentials and for all activity conducted through their account.

5.2 Acceptable Use

Users must not:

      • Share unlawful, offensive, abusive, discriminatory, or harmful content
      • Impersonate another individual
      • Attempt to gain unauthorised access to systems or accounts
      • Upload malicious software or harmful code
      • Misuse the Platform or interfere with its operation

We reserve the right to suspend or terminate access where these Terms are breached.

5.3 Third-Party Platform Provider

The Platform is hosted by CircleCo, Inc. and use of the Platform may also be subject to Circle’s own terms, privacy policies, and security practices.

Health Academy is not responsible for outages, technical failures, or third-party platform interruptions outside our reasonable control.

 

6. Medical Disclaimer

Health Academy does not provide medical care, medical diagnosis, medical treatment, or individual medical advice All information, lectures, workshops, educational materials, and online content are provided for general educational and wellbeing purposes only.

Participants should not rely on our services as a substitute for professional medical advice, diagnosis, or treatment from a qualified healthcare provider. Individuals should always seek advice from their GP or other appropriately qualified medical professional regarding any personal medical concerns or conditions.

Participation in our services does not create a doctor-patient relationship between Health Academy or its facilitators and participants.

7. Health and Wellbeing Information

Any health-related information provided through our services is intended for general informational purposes only and may not be suitable for every individual.

Participants are responsible for making their own informed decisions regarding their health, wellbeing, lifestyle, and medical care.

8. Confidentiality

Both parties agree to keep confidential any non-public business, operational, or proprietary information disclosed during the course of the services.

This obligation does not apply where disclosure is required by law.

We ask participants to respect the privacy and confidentiality of other individuals participating in workshops or discussions.

9. Data Protection and Privacy

Health Academy processes personal data in accordance with applicable UK data protection laws, including the UK GDPR and the Data Protection Act 2018.

We may collect and process personal information for purposes including:

      • Service delivery
      • Platform access
      • Programme administration
      • Communication with participants
      • Improvement of services

Clients are responsible for ensuring they have appropriate legal authority to share participant information with us where required.

10. Intellectual Property

All materials, presentations, resources, branding, recordings, and content provided by Health Academy remain our intellectual property unless otherwise agreed in writing.

Clients and participants may not:

      • Reproduce
      • Republish
      • Distribute
      • Modify
      • Commercially exploit

our materials without prior written permission.

Materials are provided for internal educational use only unless otherwise agreed.

11. Fees and Payment

Fees and payment terms will be agreed separately in writing.

Unless otherwise agreed:

      • Invoices are payable within 21 days
      • Late payments may incur interest
      • Travel or accommodation costs for in-person delivery may be charged separately where agreed

We reserve the right to suspend services for overdue accounts.

12. Cancellations and Rescheduling

Clients must provide reasonable notice for cancellations or rescheduling requests.

Unless otherwise agreed:

      • Cancellations made by you more than 14 days before delivery can be rescheduled or refunded
      • Cancellations made by you within 14 days of delivery will incur a 15% charge
      • Costs already incurred by Health Academy will remain payable

We will make reasonable efforts to accommodate rescheduling requests.

If we need to cancel or reschedule services due to circumstances beyond our control, we will work with you to arrange an alternative date.

13. Limitation of Liability

To the fullest extent permitted by law, Health Academy shall not be liable for:

      • Indirect or consequential losses
      • Loss of profits, revenue, business, or opportunity
      • Decisions made based on information provided through our services
      • Technical interruptions or third-party platform failures

Our total liability relating to any claim arising from the services shall not exceed the fees paid by the Client for the relevant services.

Nothing in these Terms excludes liability for:

      • Death or personal injury caused by negligence
      • Fraud or fraudulent misrepresentation
      • Any liability that cannot lawfully be excluded under applicable law

14. Force Majeure

We shall not be liable for any failure or delay in performance resulting from events outside our reasonable control, including but not limited to:

      • Illness
      • Severe weather
      • Industrial disputes
      • Internet or technology failures
      • Government restrictions
      • Acts of God

15. Termination

We reserve the right to terminate services or Platform access with immediate effect where:

      • These Terms are breached
      • Fees remain unpaid
      • Behaviour is abusive, unlawful, or inappropriate
      • Continued participation poses risk to other users or our business

Termination shall not affect accrued rights or obligations.

16. Governing Law

These Terms shall be governed by and construed in accordance with English law.

Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
